Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, landing pages, and online services operated by Conifer Labs, Inc, a Delaware corporation (“Company,” “we,” “us,” or “our”), including any content, resources, forms, and communications made available through those websites and services (collectively, the “Site”).
By accessing or using the Site, you agree to these Terms. If you are using the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.
1. Scope of These Terms
These Terms apply to your use of the Site and related marketing, informational, and communications features.
These Terms do not govern: (a) any subscription, order form, master services agreement, evaluation agreement, DPA, or other separate written agreement between you or your organization and the Company; or (b) the Company’s hosted products or services where separate product terms apply.
If there is a conflict between these Terms and a separate written agreement between your organization and the Company, the separate written agreement controls for the subject matter it covers.
2. Eligibility
You may use the Site only if you are at least 18 years old and legally capable of entering into a binding agreement under applicable law.
The Site is intended for business use. It is not directed to children under 16\.
3. Permitted Use
You may use the Site only for lawful business purposes, including learning about the Company, requesting a demo, contacting us, registering for events, downloading materials, or otherwise evaluating our offerings.
You will not, and will not permit any third party to:
(a) use the Site in violation of any applicable law or regulation;
(b) interfere with or disrupt the integrity, security, or performance of the Site;
(c) gain or attempt to gain unauthorized access to the Site or related systems or networks;
(d) copy, frame, mirror, scrape, crawl, harvest, or otherwise extract content or data from the Site other than as expressly permitted by us or by standard search engine indexing;
(e) use the Site to transmit malicious code, spam, deceptive communications, or infringing, unlawful, defamatory, or otherwise objectionable material;
(f) reverse engineer or attempt to discover the source code, object code, or underlying structure of any portion of the Site, except to the extent that restriction is prohibited by applicable law; or
(g) use the Site to build a competing product or service or benchmark the Site without our prior written consent.
4. Account and Submission Responsibility
If any portion of the Site allows you to submit information, schedule meetings, register for events, or otherwise interact with us, you agree to provide accurate, current, and complete information.
You are responsible for: (a) the information you submit; (b) obtaining any approvals needed from your employer or organization before submitting information; and (c) maintaining the confidentiality of any credentials used to access restricted portions of the Site.
5. Demo Requests and Communications
If you request a demo, download materials, register for an event, or otherwise contact us, you agree that we may contact you about your request and about our products, services, and related events, subject to applicable law and your communication preferences.
Submitting a request through the Site does not obligate the Company to provide any product, service, evaluation, or response within any specific time period.
6. Intellectual Property
The Site, including its text, graphics, logos, trademarks, service marks, software, design, compilations, and other content, is owned by or licensed to the Company and is protected by intellectual property and other laws.
Except for the limited rights expressly granted in these Terms, no rights, title, or interest in or to the Site or any content are granted to you.
You may not use the Company’s name, logo, or trademarks without the Company’s prior written consent.
7. Feedback
If you provide comments, suggestions, ideas, or other feedback relating to the Site or our products or services (“Feedback”), you grant the Company a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, modify, disclose, reproduce, distribute, and otherwise exploit that Feedback for any lawful purpose, without restriction or obligation to you.
8. Third-Party Content and Links
The Site may contain links to third-party websites, services, integrations, or content. We do not control and are not responsible for third-party websites or services.
Your use of third-party websites or services is at your own risk and subject to their terms and privacy practices.
9. Confidentiality
The Site may include information about the Company’s products, roadmap, security practices, or business operations. Unless expressly stated otherwise in writing, information made available on the Site is provided for general informational purposes and is not confidential information.
If we choose to share confidential information with you, that disclosure must be covered by a separate written confidentiality agreement.
10. Disclaimers
THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS COMPLETE, ACCURATE, OR CURRENT.
Content on the Site is for general informational purposes only and does not constitute legal, security, compliance, or other professional advice.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED USD $100.
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
12. Indemnification
You will defend, indemnify, and hold harmless the Company and its affiliates, and their respective officers, directors, employees, and agents, from and against any third-party claims, actions, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your use of the Site in violation of these Terms; (b) your violation of applicable law; (c) information or material you submit through the Site; or (d) your infringement or misappropriation of any third-party rights.
13. Suspension and Termination
We may suspend or terminate your access to all or part of the Site at any time, with or without notice, if we believe: (a) you have violated these Terms; (b) your use poses a security risk; (c) your use could create liability for the Company or others; or (d) suspension is required by law or to protect the Site or other users.
Sections that by their nature should survive termination will survive, including sections relating to intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
14. Privacy
Your use of the Site is also subject to our Privacy Policy, which describes how we collect, use, and disclose personal information. By using the Site, you acknowledge that we may process personal information as described in the Privacy Policy.
15. Export and Sanctions Compliance
You may not use the Site in violation of U.S. export control or economic sanctions laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions, and that you are not identified on any U.S. government restricted party list.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
17. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts, as applicable, located in, Delaware and each party irrevocably submits to the personal jurisdiction and venue of those courts.
You and the Company waive any objection to venue or inconvenient forum.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Site and update the Effective Date above. Your continued use of the Site after the updated Terms become effective constitutes your acceptance of the revised Terms.
